League Platform Contest Rules and Regulations

 

1. SPONSOR/ADMINISTRATOR.

This contest (“Contest”) is being administered by League, Inc. (the “Administrator” or “League"), for its benefit, to promote the adoption and use of League’s digital health platform (the “League Platform”) by its customers (“Customers” or “Customer”), and for the benefit of end users of the League Platform. The terms and conditions herein (“Rules”) govern the Contest.

 

2. ELIGIBILITY.

The Contest is open to individual employees (“Participants” or “Participant”) of Customers who are (i) enrolled onto and are existing end users of the League Platform and (ii) at least 18 years of age. Participants in both Canada and the United States who meet these requirements are eligible to enter the Contest.

 

3. CONTEST PERIOD.

The Individual Prize (defined below) aspect of the Contest will begin on September 16, 2022 on or around 12:00:00 AM Eastern Standard Time ("EST"), and will end on September 28, 2022, on or around 11:59:59 PM EST (the "Contest Period").

 

4. PRIZES.

There is one (1) individual prize (“Individual Prize” or “Individual Prizes”) available to be won by Participants of the Contest. The Individual Prize includes one (1) CAD $250.00 Lifemarket gift card that is redeemable on the League Platform. The Administrator reserves the right, in its sole and absolute discretion, to alter, substitute, modify the prizes (or any component thereof) with a prize of equal or greater value without prior notice for any reason. Without limiting the foregoing, in no event will the winners of the Individual Prizes be entitled to exchange LifemarketTM credits for cash or cash-equivalent instruments. The Administrator further reserves the right to terminate the Contest, Contest Period and/or any of the prizes for any reason. The Individual Prizes include only those elements specifically described herein. Any and all expenses not expressly provided herein are the sole responsibility of the prize winners.

 

5. HOW TO ENTER.

No purchase or in-store visit necessary. Purchase of an item or an in-store visit is not required by Participants and does not enhance the chance of winning. To be allocated a valid Individual Prize Entry (defined below) for the Individual Prizes, eligible Participants must complete the League Feedback survey during the contest period. If the Administrator discovers that any Participant has attempted to obtain more than one (1) Individual Prize Entries and/or use (or attempt to use) multiple names, identities, email accounts, phone numbers, and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt the Contest, then that Participant may be disqualified from the Contest and their Individual Prize Entries nullified, in the sole and absolute discretion of the Administrator. Proof of transmissions (e.g. screenshots) does not constitute proof of entry.

 

6. SELECTION OF WINNERS.

The winner of the Individual Prize will be contacted on or after September 29, 2022 before 11:59:00 PM EST, and no later than by October 7, 2022 before 11:59:00 PM EST. The Individual Prize winner shall be determined by the Administrator based on a random draw. The Administrator shall notify the Individual Prize winner by email. Thereafter, within two (2) months from the date the winner notified, each Individual Prize winner shall be provided with the prize. The winner agrees to accept the prize as offered by the Administrator, in accordance with the terms and conditions. No responsibility is assumed by the Administrator for any inability of a Participant to successfully make an Individual Prize Entry for any reason, or for any unclaimed or unawarded prize. The Administrator, in its sole and absolute discretion, may select an alternative winner if a Participant who already won refuses to accept the prize, or their account on the League Platform is terminated for whatever reason during the Contest Period or thereafter, or attempts to notify the winner are not successful.

 

7. SELECTION OF WINNERS.

Winners for the Individual Prizes will be contacted on or after August 15, 2022 before 11:59:00 PM EST, and no later than by August 22, 2022 before 11:59:00 PM EST. The Individual Prize winners shall be determined by the Administrator based on a random draw. The Administrator shall notify the Individual Prize winners by email. Thereafter, within two (2) months from the date the winners are notified, each Individual Prize winner shall be provided with the prize. The winners agree to accept the prizes as offered by the Administrator, in accordance with the terms and conditions. No responsibility is assumed by the Administrator for any inability of a Participant to successfully make an Individual Prize Entry for any reason, or for any unclaimed or unawarded prize. The Administrator, in its sole and absolute discretion, may select an alternative winner if a Participant who already won refuses to accept the prize, or their account on the League Platform is terminated for whatever reason during the Contest Period or thereafter, or attempts to notify the winner are not successful.

 

8. ADDITIONAL CONDITIONS OF PARTICIPATING.

The Participants agree that the terms and conditions of the Rules herein and all decisions of the Administrator shall be final and legally binding on Participants in all matters relating to this Contest. Except for residents of Tennessee, each prize winner must agree to the use of his/her name, image, likeness, persona, and city/province/territory of residence for publicity purposes, including the reposting of their entry and grants to the Administrator, any and all rights to said use without further notice or compensation. The Administrator and its affiliates are not responsible for printing, technical errors, distribution, or production errors. The Administrator does not warrant that access to or use of the League Platform during the Contest Period or that the Contest itself will be uninterrupted or error-free. Any attempt by a Participant, or any other individual to deliberately damage or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Participants engaging in any of these activities may be disqualified and will forfeit any prize won.

 

9. LIMITATION OF LIABILITY.

By making an Individual Prize Entry, each Participant acknowledges that the Administrator: (i) shall have no liability of any kind whatsoever with respect to this Contest and/or the awarding, use or misuse of any prize; (ii) makes no warranty, guarantee or representation of any kind concerning any prize or the operation of the Contest; (iii) disclaims any and all implied warranties to the maximum extent permissible by law; and (iv) are not liable for injury, loss or damage of any kind resulting from the winner’s acceptance, use or misuse of any prizes or otherwise any Participant’s participation in this Contest. The Administrator is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Rules, the selection and announcement of winners, or the distribution of the prize.

 

10. INDEMNIFICATION.

By making an Individual Prize Entry, each Participant agrees to fully indemnify and hold harmless the Administrator from and against any and all claims, losses, costs, damages, liabilities and costs and expenses (including legal fees) which may arise out of any breach of any of the covenants, agreements, terms, obligations, representations or warranties set forth herein.

 

11. RIGHT TO TERMINATE, MODIFY OR SUSPEND.

The Administrator may at any time, at its sole discretion and without liability, terminate, modify or suspend the Contest in whole or in part, subject only to approvals required by law (i.e. the consent of the Régie des alcools, des courses et des jeux), if fraud, technical failures, communication errors or any other errors or other causes beyond the control of the Administrator corrupt the administration, integrity or security of the Contest or if any other factor interferes with the conduct of this Contest as contemplated by these Rules and the Administrator. In addition, for the purposes of determining eligibility to win a prize in the event of early termination of the Contest, all eligible entries received prior to the time of early termination will be considered as valid and winner(s) chosen, in Administrator’s sole and absolute discretion, and the Contest Period will be deemed to have ended at the moment of early termination. The Administrator reserves the right, at any time, in its sole discretion, to correct any errors, including without limitation, any typographical, printing, computer programming or operator errors.

 

12. SEVERABILITY.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of these Rules is found to be invalid or unenforceable under applicable laws, then it shall be, to the extent invalid or unenforceable, deemed omitted and the remaining provisions will continue in full force and effect. No waiver on the part of the Administrator to enforce any term herein shall be deemed a continuing waiver or a waiver of any other term.

 

13. DISCLAIMER.

The Administrator will not be responsible for an Individual Prize Entry that is not submitted to or received by the Administrator due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis-entry of any required information, the effects of hackers, the failure of any electronic equipment, computer transmissions and/or network connections or any other reason beyond the Administrator’s reasonable control; all of which will be disqualified and not considered valid Individual Prize Entries. ALL TRADEMARKS AND LOGOS ARE PROPERTY OF THEIR RESPECTIVE OWNERS.

 

14. QUEBEC RESIDENTS ONLY.

Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Any applicable decision to be made by the Administrator affecting the conduct of this Contest is subject to a ruling of the Régie des alcools, des courses et des jeux.

 

15. GOVERNING LAW.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participants and the Administrator in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to conflicts of law principles. All Participants consent to the jurisdiction and venue of the Province of Ontario.

 

16. CONFLICTS/DISCREPANCIES.

This Contest is subject to all applicable, federal, provincial and municipal laws. In the event of a conflict between any Contest details contained in these Rules and any Contest details contained in Contest advertising materials (including, but not limited to, online, point of sale, television, and print advertising, promotional packaging, and other promotion media and French Rules), the details of the Contest as set forth in these Rules shall prevail.
